These Terms of Service set out the general conditions governing the provision of the services offered by LEGAL CHURCH LLC, as well as the rights, responsibilities and obligations applicable to both the company and its clients throughout the business relationship.
This document is intended to provide a clear, transparent and professional contractual framework for the engagement and performance of the administrative and consulting services offered by LEGAL CHURCH LLC, including, among others, services related to nonprofit organizations, for-profit organizations, churches, ministries and other entities that require administrative, organizational or documentary support.
Using the website, contracting any of our services, or accepting our service agreements implies reading, understanding and accepting these Terms of Service.

These Terms of Service apply to all clients, users, website visitors and any person who requests, contracts or uses the services provided by LEGAL CHURCH LLC, except where a specific contract establishes particular conditions.

Chapter I — General Provisions
1. Welcome
Welcome to LEGAL CHURCH LLC. We are pleased to provide our administrative, consulting and support services for nonprofit organizations, for-profit organizations, churches, ministries and other entities that require our assistance. By using our services, you accept these Terms of Service.
2. Acceptance of the Terms
By requesting, contracting or using any service offered by LEGAL CHURCH LLC, the client states that they have read, understood and accepted these Terms of Service, as well as the other policies and agreements that form part of the business relationship.
3. Eligibility
Our services are aimed at individuals over 18 years of age and legal entities with legal capacity to enter into contracts. Anyone contracting on behalf of an organization states that they have the necessary authorization to represent it.
4. Definitions
For purposes of these Terms:
- Company: Refers to LEGAL CHURCH LLC.
- Client: An individual or legal entity that requests or contracts our services.
- Services: All administrative, documentary and consulting solutions offered by LEGAL CHURCH LLC.
- Documentation: Information and documents provided by the client for the development of the service.
- Agreement: A physical or electronic document signed between the client and LEGAL CHURCH LLC.
- Government Entity: Official bodies such as the IRS, Secretaries of State or other competent authorities.
5. Scope of Services
LEGAL CHURCH LLC provides administrative, documentary and consulting services aimed at facilitating organizational and business processes. Each service will be carried out in accordance with the scope previously agreed between the parties and based on the information provided by the client.
6. Services Offered
Among the services that LEGAL CHURCH LLC may provide, depending on the client’s needs, are:
- Formation of organizations and companies.
- Obtaining the Employer Identification Number (EIN).
- Advisory services for nonprofit organizations.
- Preparation and management of 501(c)(3) tax exemption applications.
- Drafting of bylaws, minutes and corporate documents.
- Bookkeeping services.
- Payroll processing.
- Administrative and organizational consulting.
- Document preparation.
- Design of logos and ministerial or pastoral credentials.
- Other services related to our current portfolio.
7. Services Not Provided
LEGAL CHURCH LLC is not a law firm, a Certified Public Accounting (CPA) firm, or a government entity. Accordingly, it does not provide legal representation, legal advice, audits, accounting certifications, or guarantee decisions or response times from government bodies. Where a matter requires the involvement of a licensed professional, the client may be referred to obtain the corresponding support.
8. Modifications to the Services
LEGAL CHURCH LLC may update, expand, modify or discontinue any of its services where it considers this necessary to improve its operations, comply with regulatory changes, or respond to market needs.
9. Modifications to the Terms
LEGAL CHURCH LLC may update these Terms of Service at any time. The current version will be the one published through the company’s official channels and will take effect as of its publication date, unless a different date is indicated.
Chapter II — Contracting the Services
10. Requesting the Services
Clients may request the services of LEGAL CHURCH LLC through official communication channels, including phone calls, email, WhatsApp or other means authorized by the company. Every request will be subject to evaluation and acceptance by LEGAL CHURCH LLC.
11. Official Start of the Service
The contracted service will begin only when the following conditions are met:
- Signature of the Service Agreement.
- Signature of the corresponding Payment Agreement.
- Confirmation of the initial payment or deposit, where applicable.
- Receipt of the documentation and information necessary to begin the process.
Until these requirements are complete, LEGAL CHURCH LLC will not be obligated to begin performing the service.
12. Electronic Signature
The client accepts that agreements, authorizations and other documents may be signed electronically through platforms authorized by LEGAL CHURCH LLC, having the same validity and legal effect as a handwritten signature, in accordance with applicable law.
13. Payments
The client agrees to make payments under the conditions set out in their commercial proposal, invoice or payment agreement. LEGAL CHURCH LLC accepts, subject to availability, payments by:
- ACH transfers.
- Credit cards.
- Debit cards.
- Bank transfers.
The company may add or remove payment methods where it considers this necessary.
14. Deposits
Certain services may require payment of a deposit before their performance begins. The percentage or amount of the deposit will be communicated to the client in advance and must be paid within the agreed period.
15. Required Documentation
The client is responsible for providing complete, truthful, up-to-date and legible information. LEGAL CHURCH LLC may request additional documentation where necessary to comply with legal, administrative or third-party requirements.
Failure to deliver documentation, or delays in doing so, may affect the timeline for performing the service.
16. Client Responsibilities
The client agrees to:
- Provide truthful and complete information.
- Deliver the required documentation in a timely manner.
- Respond to requests for additional information.
- Comply with payment obligations.
- Review and respond to communications sent by LEGAL CHURCH LLC.
- Report any relevant change related to their process.
17. Responsibilities of LEGAL CHURCH LLC
LEGAL CHURCH LLC agrees to:
- Provide the services with professionalism, diligence and good faith.
- Keep the client informed of the progress of their process.
- Treat the information provided confidentially.
- Use appropriate personnel and tools to perform the services.
- Provide accompaniment throughout the development of the contracted service.
- Act in accordance with applicable law and administrative best practices.
18. Timeframes for Performance
The timeframes for performing the services will depend on various factors, including:
- Timely delivery of documentation by the client.
- The complexity of the contracted service.
- Response times of government entities or third parties involved.
- Additional requirements that may arise during the process.
Accordingly, LEGAL CHURCH LLC does not guarantee exact completion dates where the outcome depends on external bodies or on information pending from the client.
Chapter III — Performance of the Services
19. Development of the Service
Once the requirements to begin the service have been met, LEGAL CHURCH LLC will begin performing the contracted activities in accordance with the scope defined between the parties, using administrative, technological and operational procedures that allow the service to be carried out efficiently, professionally and in an organized manner.
20. Client Collaboration
The client acknowledges that the success and continuity of the service depend, to a large extent, on their collaboration. For this reason, the client agrees to timely provide all required information and documentation, respond to requests made by LEGAL CHURCH LLC, and maintain active communication throughout the process.
Lack of collaboration or delay in providing information may affect the timeline for performing the service, without this creating liability for LEGAL CHURCH LLC.
21. Incomplete, Incorrect or Outdated Information
The client is responsible for providing complete, truthful, legible and up-to-date information and documentation. If, during the performance of the service, LEGAL CHURCH LLC identifies information that is incomplete, incorrect, inconsistent, or requires updating, it may request the client to provide the corrections or additional documents necessary to continue the process.
Where such corrections involve additional activities that exceed the scope originally contracted, LEGAL CHURCH LLC may generate additional costs, which will be communicated to the client in advance for their review and approval.
If the client decides not to authorize the additional work or does not provide the required information within a reasonable time, LEGAL CHURCH LLC may temporarily suspend the service until the situation is resolved, without this constituting a breach by the company or creating liability for the resulting delays.
22. Requirements from Government Entities or Third Parties
During the performance of the service, government entities, financial institutions or other third parties may request information, clarifications or additional documentation to continue with the corresponding procedure.
In these cases, the client will be responsible for promptly providing the required information. Any delay caused by the client’s failure to respond, or by the third party’s own timeframes, will be beyond the control of LEGAL CHURCH LLC.
23. Processing Times
The client acknowledges that many of the services provided by LEGAL CHURCH LLC depend on processes carried out by external entities, including, among others, the Internal Revenue Service (IRS), Secretaries of State, financial institutions and other public or private bodies.
For this reason, LEGAL CHURCH LLC does not guarantee exact dates for approval, issuance of documents, registrations or official responses, since such timeframes depend exclusively on each competent entity.
24. Communication During the Process
In order to maintain a transparent service and appropriate follow-up, LEGAL CHURCH LLC will keep the client informed of the progress of their process using official communication channels, including email, phone calls, SMS messages, WhatsApp and virtual meetings where necessary.
The client agrees to keep their contact information up to date and to periodically review communications sent by LEGAL CHURCH LLC.
25. Delivery of Results
Documents, certificates, reports, records, forms or other results arising from the service will be delivered to the client through the official channels established by LEGAL CHURCH LLC, seeking to preserve the security, integrity and confidentiality of the information.
It will be the client’s responsibility to verify the information received and report any inconsistency within a reasonable time after delivery.
26. Services Dependent on Third Parties
Some services may involve the participation of government entities, technology providers, financial institutions, courier companies or other third parties.
LEGAL CHURCH LLC will not be responsible for delays, interruptions, errors, technical failures, administrative decisions, or any other situation attributable exclusively to such third parties.
27. Modifications to the Scope of the Service
If, during the performance of the service, the client requests modifications, extensions, or activities not contemplated within the scope originally contracted, LEGAL CHURCH LLC may present a supplementary proposal indicating the new scope, the estimated time for performance, and any additional costs, which must be approved by the client before such work begins.
28. Completion of the Service
The contracted service will be considered complete once LEGAL CHURCH LLC has performed the activities included in the agreed scope and has delivered to the client the corresponding documents, results or products.
The completion of the service does not extinguish those obligations that, by their nature, must remain in effect, including those related to confidentiality, data protection, outstanding payments, document retention, limitation of liability and other provisions set out in these Terms of Service.
Chapter IV — Payments, Billing and Financial Obligations
29. Value of the Services
The prices of the services provided by LEGAL CHURCH LLC will be communicated to the client through a quote, commercial proposal, invoice, payment agreement or other document issued by the company. All prices must be accepted by the client before the service begins.
30. Payment Methods
LEGAL CHURCH LLC accepts, subject to availability, the following payment methods:
- ACH transfers.
- Credit cards.
- Debit cards.
- Bank transfers.
The company may add, modify or remove payment methods where it considers this necessary to improve the provision of its services.
31. Deposits
Certain services may require payment of a deposit before their performance begins. The percentage or amount of the deposit will be communicated to the client in advance and will form part of the agreed commercial conditions.
Failure to pay the deposit will prevent the service from starting.
32. Invoicing
Once the commercial proposal is accepted or the engagement process has begun, LEGAL CHURCH LLC will issue the corresponding invoice or billing document, which must be paid within the established period.
The client is responsible for verifying the information contained in the invoice and reporting any inconsistency within a reasonable time.
33. Failure to Pay
Where the client does not make payment within the agreed period, LEGAL CHURCH LLC may temporarily suspend the provision of the service until the obligation is brought current.
Suspension of the service due to non-payment will not constitute a breach by LEGAL CHURCH LLC, nor will it create liability for the resulting delays.
34. Rejected or Failed Payments
If a payment is rejected, returned, reversed, or cannot be processed for any reason, the client must correct the payment using a method authorized by LEGAL CHURCH LLC.
Delays caused by this situation may affect the service schedule without liability to the company.
35. Chargebacks and Payment Disputes
Before filing a chargeback, bank claim, or dispute with a financial institution or payment processor, the client agrees to contact LEGAL CHURCH LLC in order to attempt to resolve the situation directly and in good faith.
If a chargeback is initiated while the service is being performed or has already been provided, LEGAL CHURCH LLC may present as evidence the signed agreements, invoices, payment records, communications, documents sent, proof of work performed, and any other information demonstrating compliance with its obligations.
36. Bank Charges and Financial Costs
Commissions, bank charges, payment processing costs, or other financial expenses generated by the payment method used will be borne by the party to whom they legally or contractually correspond, unless otherwise agreed in writing.
37. Scope Modifications with Financial Impact
Where the client requests additional activities, modifications, corrections, or extensions that are not part of the originally contracted scope, LEGAL CHURCH LLC will communicate in advance the additional costs and the impact such changes may have on the performance timeline.
Additional work will only begin once the client indicates their acceptance.
38. Tax Obligations
Each party will be responsible for complying with the tax obligations that correspond to it under applicable law.
Where a competent authority establishes taxes, fees, or contributions related to the contracted service, these may be passed on to the client where current regulations permit it.
39. Suspension of Services
LEGAL CHURCH LLC may temporarily suspend the provision of any service where there are outstanding payments, contractual breaches, lack of client collaboration, absence of required documentation, or any other circumstance that prevents the process from continuing normally.
Resumption of the service will be subject to resolution of the situation that caused the suspension.
40. Record of Payments
All payments made by the client will be recorded by LEGAL CHURCH LLC as part of the administrative file for the contracted service.
Invoices, electronic receipts, bank records, payment confirmations and other financial supporting documents will constitute sufficient evidence of the transactions carried out between the parties.
41. Abandonment or Inactivity of the Project
Where the client stops responding to communications from LEGAL CHURCH LLC, fails to provide the required documentation, or abandons the process for a reasonable period of time, the company may administratively suspend the file until the client indicates their intention to continue.
If, as a result of such inactivity, it becomes necessary to update information, re-prepare documents, carry out new analyses, or repeat previously performed activities, LEGAL CHURCH LLC may inform the client of the corresponding additional costs before reactivating the service.
Reactivation of the process will be subject to LEGAL CHURCH LLC‘s operational availability, the updating of the required information, and acceptance of any new conditions, which, where applicable, will be communicated to the client in advance.
Chapter V — Refunds
42. General Principle
LEGAL CHURCH LLC provides administrative and consulting services of a professional nature, so each process requires the allocation of human resources, time, specialized knowledge and operational activities from the moment its performance begins.
For this reason, every refund request will be evaluated individually in accordance with the particular circumstances of each case and the provisions set out in these Terms of Service.
43. Refund Request
Every refund request must be submitted in writing through the official communication channels of LEGAL CHURCH LLC, clearly stating the reasons for it and providing any information that facilitates its evaluation.
Submitting a request does not imply automatic approval of the refund.
44. Evaluation of the File
Upon receiving the request, LEGAL CHURCH LLC will carry out a complete review of the client’s file, including, among other aspects:
- The scope of the contracted service.
- The agreements signed.
- The activities performed.
- The documents prepared or delivered.
- Actions taken with third parties.
- Professional time invested.
- Administrative and operational costs incurred.
- Payments made to external entities, where applicable.
Every decision will be made based on the documentation contained in the client’s file.
45. Determining the Amount to Be Refunded
If, after the evaluation, LEGAL CHURCH LLC determines that a refund is warranted, the amount will be calculated by deducting the cost of the activities actually performed, the professional time invested, administrative expenses, operational costs, payments made to third parties, and any other item associated with the service provided.
Accordingly, the client acknowledges that a payment made does not necessarily entail the right to a full refund.
46. Cases in Which a Refund May Not Apply
Without limiting other applicable cases, LEGAL CHURCH LLC may deny, in whole or in part, a refund request where:
- Performance of the service has begun.
- Documents have been prepared, reviewed or drafted.
- Administrative actions have been taken.
- Filings have been made before government entities or third parties.
- Costs have already been incurred by LEGAL CHURCH LLC.
- The client decides to voluntarily withdraw from the process.
- The delay or inability to continue results from the client’s lack of collaboration.
- The suspension or rejection of the procedure results from decisions made by government entities or third parties beyond LEGAL CHURCH LLC‘s control.
47. Method of Refund Payment
Where a refund is warranted, it will preferably be made by ACH transfer or another payment method LEGAL CHURCH LLC considers appropriate, upon prior coordination with the client.
48. Refund Agreement
Before making any refund, LEGAL CHURCH LLC may sign an agreement with the client setting out:
- The reason for the refund.
- The authorized amount.
- The method of payment.
- The estimated date of the refund.
- Any additional condition the parties consider relevant.
This document will form part of the client’s file.
49. Duplicate Payments or Administrative Errors
Where a duplicate payment or a charge made in error attributable to LEGAL CHURCH LLC is identified, the company will carry out the corresponding checks and, if the situation is confirmed, will make the applicable adjustment or refund within a reasonable time.
50. Final Decision
Once the evaluation process is complete, LEGAL CHURCH LLC will communicate its decision to the client in writing.
The determination made will be based on the documents, records and evidence available in the file and will constitute the final decision regarding the request submitted, unless new facts or relevant evidence subsequently arise that justify a new review.
51. Refunds Without Admission of Liability
Any refund made by LEGAL CHURCH LLC, whether in whole or in part, is intended to resolve a specific situation amicably or address a particular business circumstance.
Under no circumstances shall such a refund be interpreted as an admission of liability, acknowledgment of breach, admission of fault, or waiver of the rights available to LEGAL CHURCH LLC under applicable law and these Terms of Service.
Chapter VI — Cancellations and Termination of Services
52. Cancellation Requested by the Client
The client may request the cancellation of a service at any time through written communication sent via the official channels of LEGAL CHURCH LLC.
The request will be reviewed by the company in order to determine the status of the process, the activities performed, and the obligations outstanding between the parties.
53. Effects of Cancellation
Cancellation of a service does not automatically eliminate obligations incurred before the date of the request.
The client will remain responsible for payment of the services actually provided, the administrative costs incurred, and any outstanding financial obligation as of the date of cancellation.
54. Cancellation Procedure
Once the cancellation request is received, LEGAL CHURCH LLC may:
- Review the status of the file.
- Inform the client of the activities performed.
- Identify outstanding obligations.
- Determine whether any amount is subject to a refund under the Refund Policy.
- Formalize the cancellation through the corresponding document or record.
55. Suspension of Recurring Services
Where the contracted service is recurring in nature, cancellation will take effect as of the date agreed between the parties, provided the client has fulfilled any outstanding financial obligations.
Cancellation will not affect services already provided or invoices previously issued.
56. Right of Termination by LEGAL CHURCH LLC
LEGAL CHURCH LLC may suspend or terminate the provision of one or more services where there is justified cause, including, among others, the following situations:
- Breach of contractual obligations by the client.
- Failure to pay.
- Providing false, inaccurate or misleading information.
- Submitting altered, fraudulent documents, or documents whose authenticity cannot be verified.
- Requests contrary to applicable law or LEGAL CHURCH LLC‘s ethical principles.
- Offensive, threatening, discriminatory or disrespectful conduct toward company personnel.
- Use of the services for unlawful or unauthorized purposes.
- Repeated refusal by the client to provide the documentation necessary to continue the process.
- Any other circumstance that represents a legal, operational, financial or reputational risk to LEGAL CHURCH LLC.
57. Termination Due to Inability to Continue the Service
If, during the performance of the service, a circumstance arises that makes it impossible to continue the process for reasons beyond LEGAL CHURCH LLC‘s control, the company may terminate the service, informing the client in advance and evaluating, where applicable, the application of the Refund Policy.
58. Effects of Termination
Termination of the service will not extinguish those obligations that, by their nature, must remain in effect, including, among others:
- Outstanding payment obligations.
- Confidentiality.
- Data protection.
- Document retention.
- Limitation of liability.
- Intellectual property.
- Dispute resolution.
59. Retention of the File
Once the service is completed or cancelled, LEGAL CHURCH LLC may retain the file and related documentation for as long as it considers necessary to comply with legal, contractual, regulatory or administrative obligations.
60. Right to Decline New Engagements
LEGAL CHURCH LLC reserves the right to decline future engagement requests submitted by persons or entities that have previously breached their contractual obligations, provided false information, engaged in fraudulent conduct, promoted abusive behavior toward company personnel, or created legal, financial or reputational risks for LEGAL CHURCH LLC.
The exercise of this right will be carried out objectively, reasonably and in accordance with applicable law, without constituting an act of unlawful discrimination.
Chapter VII — Communications and Electronic Media
61. Official Communication Channels
LEGAL CHURCH LLC will use email, phone calls, SMS messages, WhatsApp, virtual meetings, and any other means the company authorizes as official communication channels for the proper provision of its services.
The client agrees to use these channels for the normal course of the business relationship.
62. Consent for Communications
By contracting the services of LEGAL CHURCH LLC, the client authorizes the company to send communications related to the contracted service, including confirmations, requests for information, reminders, process updates, administrative notifications, invoices, and other information necessary for the proper performance of the service.
63. Communications via SMS and WhatsApp
The client authorizes LEGAL CHURCH LLC to use SMS messages and WhatsApp to maintain agile communication during the provision of the service.
These communications may include, among others:
- Appointment confirmations.
- Requests for documentation.
- Reminders.
- Updates on the status of the process.
- Confirmation of document receipt.
- Notices related to the contracted service.
64. Phone Communications
The client authorizes LEGAL CHURCH LLC to make phone calls where necessary to provide advice, resolve concerns, coordinate activities, verify information, or address any matter related to the contracted services.
65. Virtual Meetings
Where the nature of the service requires it, LEGAL CHURCH LLC may schedule virtual meetings through platforms authorized by the company for the purpose of providing advice, presenting reports, reviewing processes, or addressing client inquiries.
66. Follow-Up Communications
As part of its commitment to client accompaniment, LEGAL CHURCH LLC may make follow-up communications related to previously advised processes, reminders of pending procedures, opportunities for updates, or complementary services that may be of interest to the client.
These communications will be made responsibly and personally, avoiding mass-sending practices or unsolicited messages.
67. Accuracy of Contact Information
The client is responsible for keeping their contact information up to date.
LEGAL CHURCH LLC will not be responsible for delays, loss of information, or communication failures caused by incorrect, outdated, or incompletely provided data on the part of the client.
68. Business Hours
Except in exceptional circumstances or specific agreements, LEGAL CHURCH LLC will provide service during its official business hours, currently Monday to Friday from 7:00 a.m. to 6:00 p.m., New York time.
Communications received outside business hours will be addressed on the next business day, in accordance with the company’s operational availability.
69. Commercial Communications
LEGAL CHURCH LLC may send information about related services, news, or commercial reminders only where there is a prior business relationship or where the client has expressed interest in receiving this type of information.
The company does not run mass unsolicited messaging campaigns or communication practices considered spam.
70. Ending Communications
The client may request to stop receiving promotional or informational communications at any time.
However, LEGAL CHURCH LLC may continue to send communications that are necessary for the proper performance of the contracted services, compliance with legal obligations, attention to administrative requirements, or management of matters related to the ongoing contractual relationship.
Chapter VIII — Confidentiality, Information Protection and Responsible Use of Technology
71. Confidentiality Commitment
LEGAL CHURCH LLC agrees to treat confidentially the information provided by its clients during the provision of services, using such information solely for purposes related to the performance of the contracted service or to comply with legal obligations.
72. Confidential Information
All information provided by the client that is not of a public nature will be considered confidential information, including, among others:
- Corporate documents.
- Financial information.
- Tax information.
- Contact information.
- Identification documents.
- Administrative information.
- Organizational strategies.
- Internal documentation.
- Any other information provided during the business relationship.
73. Use of Information
Information provided by the client will be used exclusively to develop the contracted services, address requirements from competent entities, comply with legal obligations, improve internal processes, and maintain proper administrative management at LEGAL CHURCH LLC.
The company does not trade or sell its clients’ information.
74. Access to Information
Access to client information will be limited to personnel, collaborators, or authorized providers of LEGAL CHURCH LLC who need to know such information to properly perform their duties and who are subject to confidentiality obligations.
75. Protection of Information
LEGAL CHURCH LLC will implement reasonable administrative, organizational and technological measures to protect the information under its control against unauthorized access, loss, alteration, disclosure, or misuse.
However, no technological security measure can guarantee absolute protection against all existing risks.
76. Retention of Information
Documentation and records related to the services provided may be retained by LEGAL CHURCH LLC for as long as necessary to comply with legal, regulatory, contractual, administrative, or archival obligations.
After that period, the company may delete the information in accordance with its internal policies and applicable law.
77. Permitted Disclosure
LEGAL CHURCH LLC may disclose client information only where:
- The client has given express authorization.
- It is necessary to perform the contracted service.
- A competent authority requires it.
- It is required by a legal or regulatory obligation.
- It is essential to protect the legitimate rights or interests of LEGAL CHURCH LLC.
78. Responsible Use of Technology Tools and Artificial Intelligence

The use of these tools will be strictly complementary and will not replace the supervision, review, and professional judgment of LEGAL CHURCH LLC‘s personnel.
The company will seek to use such technologies responsibly and adopt reasonable measures to preserve the confidentiality and security of the information processed.
79. Client Responsibility for Their Information
The client will be responsible for the truthfulness, integrity, and legality of the information and documentation provided to LEGAL CHURCH LLC, as well as for holding the necessary authorizations where they provide information belonging to third parties.
80. Duration of Confidentiality
The confidentiality obligations set out in these Terms of Service will remain in effect even after the completion, cancellation, or termination of the business relationship between the client and LEGAL CHURCH LLC, to the extent permitted by applicable law.
Chapter IX — Limitation of Liability
81. Obligation of Means
The services provided by LEGAL CHURCH LLC constitute an obligation of means and not an obligation of result. The company agrees to perform the services with diligence, professionalism, and good faith, but does not guarantee specific results where these depend on external factors or on decisions made by third parties.
82. Decisions of External Entities

83. Information Provided by the Client
LEGAL CHURCH LLC will not be responsible for errors, delays, rejections, or any consequence arising from incomplete, incorrect, false, outdated information, or information provided by the client after the required deadlines.
84. Actions of Third Parties
The company will not be responsible for acts, omissions, technical failures, service interruptions, delays, or decisions attributable to technology providers, financial institutions, courier companies, digital platforms, telecommunications operators, or any third party whose actions are independent of LEGAL CHURCH LLC.
85. Technological Interruptions
LEGAL CHURCH LLC will seek to maintain the continuity of its services; however, it will not be responsible for interruptions caused by failures in internet service, electrical power, telecommunications services, technology platforms, cyberattacks, or other circumstances beyond its reasonable control.
86. Accuracy of Official Information
The company uses the information available at the time it provides its services. It will not be responsible for legislative, regulatory, administrative, or government policy changes that occur afterward and that may affect a procedure or service.
87. Indirect Damages
To the extent permitted by applicable law, LEGAL CHURCH LLC will not be responsible for indirect, incidental, special, or consequential damages, loss of business opportunities, loss of revenue, loss of profits, reputational harm, or any similar loss arising from the use of its services.
88. Maximum Liability
Should a competent authority determine that LEGAL CHURCH LLC bears liability, such liability will be limited, to the maximum extent permitted by applicable law, to the amount actually paid by the client for the specific service that gave rise to the claim.
This limitation will not apply where a mandatory rule expressly provides otherwise.
89. Absence of Absolute Guarantees
Unless expressly established in writing, LEGAL CHURCH LLC does not guarantee the approval of registrations, obtaining tax exemptions, government authorizations, specific response times, or any other outcome whose decision rests exclusively with an external entity or depends on circumstances beyond the company’s control.
90. Interpretation of This Chapter
The provisions contained in this chapter must be interpreted broadly, seeking to preserve the contractual balance between the parties and protect LEGAL CHURCH LLC against risks that reasonably fall outside its control, always within the limits permitted by applicable law.
Chapter X — Intellectual Property
91. Ownership of Intellectual Property
Unless expressly stated otherwise, all content developed, used, or made available by LEGAL CHURCH LLC, including texts, documents, formats, contracts, templates, manuals, procedures, methodologies, designs, graphics, images, website content, and other materials related to the provision of its services, is the property of LEGAL CHURCH LLC or is used with corresponding authorization, and is protected under applicable intellectual property law.
92. Authorized Use
The client may use the documents and materials delivered by LEGAL CHURCH LLC as a result of the contracted service solely for the purposes of their own organization or activity, unless the parties expressly agree in writing to a different use.
93. Restrictions on Use
Without prior written authorization from LEGAL CHURCH LLC, the client may not:
- Copy, reproduce, or distribute the materials developed by the company for commercial purposes.
- Modify or reuse templates, methodologies, or documents for the purpose of offering services to third parties.
- Publish, sell, sublicense, or commercially exploit materials owned by LEGAL CHURCH LLC.

The client states that they hold the necessary authorizations to provide such materials and authorizes LEGAL CHURCH LLC to use them solely for the performance of the contracted service.
95. Development of New Materials
During the provision of services, LEGAL CHURCH LLC may develop new formats, procedures, methodologies, tools, documents, or working materials.
Unless otherwise agreed in writing, such developments will remain the property of LEGAL CHURCH LLC, even where they have been used during the performance of a specific service.
96. Use of the Website
Content published on the website of LEGAL CHURCH LLC serves informational and commercial purposes related to the services offered by the company.
Reproduction, extraction, systematic copying, or unauthorized use of such content is prohibited where it infringes intellectual property rights or applicable law.
97. Comments and Suggestions
Where the client provides comments, recommendations, or suggestions to improve the services, LEGAL CHURCH LLC may analyze and incorporate them into its internal processes without this creating an obligation for financial compensation, recognition of authorship, or assignment of rights, unless otherwise agreed in writing.
98. Respect for Third-Party Rights

If a person believes that content used by LEGAL CHURCH LLC infringes their rights, they may report it through the official channels so that the company can carry out the corresponding evaluation.

The client states that all information and documentation provided to LEGAL CHURCH LLC is truthful, complete, authentic, and obtained legitimately.
Likewise, the client will be responsible for keeping such information up to date throughout the provision of the service.
103. Third-Party Documentation
Where the client provides documents or information belonging to third parties, the client states that they hold the necessary authorizations to do so and that such delivery does not infringe the rights of third parties or applicable law.
104. Proper Use of the Services
The client agrees not to use the services of LEGAL CHURCH LLC to:
- Carry out unlawful activities.
- Commit fraud or facilitate fraudulent acts.
- Submit false information to government or private entities.
- Infringe the rights of third parties.
- Evade legal or tax obligations.
- Any other activity contrary to applicable law.
105. Cooperation with Authorities

LEGAL CHURCH LLC will not be responsible for failure to perform, delay, suspension, or inability to provide its services where such circumstances result from force majeure events, acts of God, or any other circumstance beyond its reasonable control.

For purposes of these Terms of Service, force majeure events may include, among others:

- Hurricanes.
- Earthquakes.
- Epidemics or pandemics.
- Wars, armed conflicts, or acts of terrorism.

- Widespread failures of technology platforms or cloud services.

113. Temporary Suspension of Obligations

Where reasonably possible, LEGAL CHURCH LLC will inform the client of the occurrence of a force majeure event and, if possible, communicate the estimated impact on the provision of the service.
The inability to provide such immediate notification due to the force majeure event itself will not create liability for the company.
115. Mitigation of Effects
LEGAL CHURCH LLC will adopt reasonable measures to reduce the impact of force majeure events on the provision of its services, provided this is technically, operationally, and economically feasible.
116. Actions of External Entities
Where the force majeure event affects government entities, financial institutions, technology providers, or other third parties necessary for the performance of the service, the resulting delays or interruptions will likewise not be attributable to LEGAL CHURCH LLC.
117. Termination Due to Permanent Impossibility
If a force majeure event permanently, or for an excessively prolonged period, prevents the continuity of the service, LEGAL CHURCH LLC may terminate the contract, upon prior notice to the client and applying, where applicable, the provisions set out in the Refund Policy and the other Terms of Service.
118. Preservation of Rights
The suspension or termination of a service due to force majeure will not imply a waiver by LEGAL CHURCH LLC or the client of the rights and obligations that, by their nature, must remain in effect under these Terms of Service.
119. Resumption of the Service
Once the circumstances that gave rise to the force majeure event have ceased, LEGAL CHURCH LLC may resume the provision of services, adjusting schedules and timeframes for performance according to the operational conditions existing at that time.
120. Interpretation of This Chapter
The provisions contained in this chapter must be interpreted reasonably and in accordance with applicable law, seeking to protect both the continuity of LEGAL CHURCH LLC‘s operations and the legitimate interests of its clients in the face of extraordinary situations beyond the control of either party.

123. Alternative Dispute Resolution Mechanisms
Where the parties consider it convenient, they may voluntarily resort to alternative dispute resolution mechanisms, such as assisted negotiation, mediation, or other procedures permitted by applicable law.
Participation in these mechanisms will not prevent either party from subsequently exercising the rights available to it under the law.
124. Applicable Law
These Terms of Service will be governed by and interpreted in accordance with the laws of the State of Delaware, United States of America, without prejudice to the application of any mandatory rules that, under applicable law, must prevail.
125. Competent Jurisdiction
Where a dispute cannot be resolved through the mechanisms set out in this chapter, the parties agree that any judicial proceeding will be brought before the competent authority in accordance with applicable law and the corresponding jurisdictional rules.

The fact that either party decides not to immediately exercise a right set out in these Terms of Service will not be interpreted as a waiver of that right, nor will it prevent its exercise at a later time.
127. Time Limit for Filing Claims
The parties will seek to file any claim related to the services provided within a reasonable time from the moment they become aware of the facts giving rise to it, in order to facilitate its proper review and the preservation of evidence.
128. Electronic Evidence
The parties acknowledge that emails, electronic messages, digitally signed documents, administrative records, invoices, proof of payment, and other electronic evidence may be used as evidence, in accordance with applicable law.
129. Interpretation of the Contract
These Terms of Service must be interpreted in good faith, seeking to preserve their purpose, the balance between the parties, and the continuity of the business relationship, avoiding interpretations that distort the purpose of the contract.
130. Survival of Obligations
Termination of the contractual relationship will not affect those obligations that, by their nature, must remain in effect, including, among others, those related to outstanding payments, confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution.

131. Entire Agreement

LEGAL CHURCH LLC may assign or transfer its rights and obligations where this results from a corporate reorganization, merger, acquisition, sale of assets, or any other corporate transaction permitted by applicable law, seeking not to unjustifiably affect the client’s rights.

LEGAL CHURCH LLC may update or modify these Terms of Service where necessary due to legal, regulatory, technological, operational, or business changes.
